Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Titus CRM platform ("the Service"), operated by A4G Pty Ltd trading as Titus CRM ("we", "us", "our"), ABN pending, Brisbane, Queensland, Australia.

By creating an account, starting a trial, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

These Terms constitute a legally binding agreement. Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance of Terms

Your use of the Service constitutes acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of the Service, including administrators, staff, and any other individuals granted access to your organisation's account.

2. The Service

Titus CRM is a cloud-based provider management platform designed for Australian NDIS and human services organisations. The Service includes features for participant management, rostering, compliance tracking, AI-powered documentation, and related functions as described on our website and updated from time to time.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not make changes that materially reduce core functionality without notifying active subscribers.

3. Accounts and Access

To use the Service, you must create an account with accurate and complete information. You are responsible for:

You must not share login credentials across multiple individuals. Each staff member should have their own account.

4. Subscriptions and Billing

Titus CRM is offered on a subscription basis. By subscribing, you authorise us to charge your nominated payment method on the recurring basis applicable to your plan.

Billing Cycle

Subscriptions are billed monthly or annually in advance, depending on your selected plan. Prices are in Australian Dollars (AUD) and include GST where applicable.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting hello@titus-crm.com. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for partial periods.

Price Changes

We will give at least 30 days' notice of any price changes. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Failed Payments

If a payment fails, we will attempt to retry the charge. If payment remains outstanding after 14 days, access to the Service may be suspended until the account is brought up to date.

5. Free Trial

We offer a 21-day free trial for new organisations. No credit card is required to start a trial. At the end of the trial period, your account will be downgraded to a limited free tier or you can choose a paid subscription to retain full access. Trial data is retained for 30 days after trial expiry.

6. Your Data

You retain full ownership of all data you input into the Service, including participant information, care records, and staff data ("Your Data").

Our Role

We act as a data processor for Your Data. We process it solely to provide the Service to you and as described in our Privacy Policy. We will not sell, rent, or use Your Data for any commercial purpose outside of service delivery.

Data Export

You may export Your Data at any time from within the platform. Upon cancellation, you have 30 days to export your data before it is permanently deleted from our systems.

Your Responsibilities

You are responsible for ensuring that your use of the Service and any data you input complies with applicable laws, including the NDIS Act 2013, the Privacy Act 1988, and any obligations under your NDIS registration. We are not responsible for your compliance with these obligations.

You agree not to use the Service to:

8. Intellectual Property

The Service, including its code, design, AI models, and documentation, is the intellectual property of A4G Pty Ltd and is protected by Australian and international copyright law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

You grant us a limited licence to use Your Data solely to provide and improve the Service for your organisation. We do not use Your Data to train general AI models.

9. Limitation of Liability

To the maximum extent permitted by Australian law:

Nothing in these Terms limits liability that cannot be excluded under Australian Consumer Law, including guarantees that apply to services supplied to consumers.

10. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay outstanding invoices, or engage in conduct that we reasonably determine poses a risk to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, and 12 of these Terms survive termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you may cancel your subscription before the changes take effect.

12. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Queensland. Nothing in these Terms limits your rights under Australian Consumer Law.
