Terms of Service

These Terms of Service ("Terms") govern your use of the Titus CRM platform and services provided by Titus CRM Pty Ltd (ABN 28 616 760 206). By accessing or using Titus CRM, you agree to be bound by these Terms.
1. Definitions
- "Platform" means the Titus CRM software application, including all features, tools, and services.
- "You" / "Customer" means the organisation or individual who subscribes to the Platform.
- "Users" means individuals authorised by the Customer to access the Platform.
- "Content" means data, documents, and materials uploaded to or created within the Platform.
- "Subscription Period" means the duration for which the Customer has paid for access.
2. Account Registration and Access
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorised use of your account.
- You are responsible for all activity that occurs under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Subscription and Payment
3.1 Pricing
- Subscriptions are billed weekly in Australian Dollars (AUD), plus GST.
- Current pricing tiers: Foundation ($149/week), Growth ($349/week), and Scale ($749/week).
- Implementation fees are one-time charges payable upon onboarding.
- Add-on modules are billed separately at their listed weekly rates.
3.2 Free Trial
- New customers receive a 14-day free trial with full platform access.
- No payment details are required to start a trial.
- At the end of the trial, you must subscribe to continue using the Platform.
3.3 Cancellation
- You may cancel your subscription at any time with 7 days' written notice.
- Cancellation takes effect at the end of the current billing period.
- No refunds are provided for partial billing periods.
- Upon cancellation, you may export your data for up to 30 days before account deactivation.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of Australian law.
- Upload malicious code, viruses, or harmful content.
- Attempt to gain unauthorised access to other accounts or systems.
- Reverse engineer, decompile, or disassemble the Platform.
- Use the Platform in a way that could damage, disable, or impair its functionality.
- Share your account credentials with unauthorised individuals.
- Use the AI features to generate false, misleading, or fraudulent documentation.
5. Your Data
5.1 Ownership
You retain ownership of all Content you upload to the Platform. We do not claim ownership of your data.
5.2 Licence
You grant us a limited licence to host, store, process, and display your Content solely for the purpose of providing the Platform services. This licence terminates when you delete your Content or close your account.
5.3 Data Processing
We process your data in accordance with our Privacy Policy and applicable Australian privacy legislation. Where your data includes NDIS participant information, we comply with NDIS data handling requirements.
5.4 Data Export
You may export your data at any time through the Platform's export features. Upon account termination, data export is available for 30 days.
6. AI Features
- AI-generated content (reports, summaries, compliance suggestions) is provided as a drafting aid and should be reviewed by qualified staff before use.
- We do not guarantee the accuracy of AI-generated content.
- AI features use third-party providers (Anthropic Claude) for processing. Your data is not used to train AI models.
- You are responsible for reviewing and approving all AI-generated content before submission to regulatory bodies.
7. Service Levels
- We target 99.9% uptime for the Platform, excluding scheduled maintenance.
- Scheduled maintenance will be communicated at least 24 hours in advance where possible.
- We are not liable for downtime caused by third-party service providers, internet connectivity, or circumstances beyond our reasonable control.
8. Intellectual Property
The Platform, including its design, features, code, and documentation, is the intellectual property of Titus CRM Pty Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the Platform during your Subscription Period.
9. Limitation of Liability
- To the maximum extent permitted by Australian Consumer Law, our total liability for any claim arising from these Terms is limited to the fees paid by you in the 3 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for losses arising from your failure to maintain adequate backups of your data.
- Nothing in these Terms excludes or limits liability that cannot be excluded under Australian law, including the Australian Consumer Law.
10. Indemnification
You agree to indemnify and hold harmless Titus CRM Pty Ltd from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
11. NDIS Compliance
- The Platform is designed to support NDIS provider compliance but does not guarantee compliance with NDIS Practice Standards or Quality Indicators.
- You remain responsible for your organisation's compliance obligations.
- Compliance features are based on current NDIS guidelines and are updated as regulations change.
12. Termination
- Either party may terminate with 7 days' written notice.
- We may terminate immediately if you breach these Terms and fail to remedy the breach within 14 days of notice.
- Upon termination, your access to the Platform ceases, and data export is available for 30 days.
13. Changes to Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland, subject to the exclusive jurisdiction of those courts.
